Mid-Missouri Energy, Inc. Cooperative Delivery Unit Transfer Policy Summary

The Board of Directors of Mid-Missouri Energy, Inc. has established this Delivery Unit Transfer Policy governing the transfer of delivery units, pursuant to authority granted under the Company’s Articles of Incorporation and Bylaws. Because we operate on a cooperative basis, all members must:

1) Qualify as producers-at-risk;

2) Deliver corn either by on-site delivery or through our corn pool program. For all Delivery Unit transfers, the owner on record as of September 30 of a fiscal year will be allocated 100% of the taxable patronage income for that fiscal year, and will receive all of the cash portion of any patronage dividend declared by the Board for that fiscal year. All non-cash patronage dividends stay with the transferred delivery units under the “bundling” provisions of our bylaws.

Selling your Delivery Units is your responsibility, not the Company’s responsibility. Delivery units may not be sold or transferred without the approval of the Company’s Board of Directors, and then only if in accordance with Rules and Procedures of the Delivery Unit Transfer Policy. You may post your interest in buying or selling Delivery Units on the Mid-Missouri Energy bulletin board. To view interested buyers and sellers click BULLETIN BOARD.

Both seller and buyers make important representations and warranties to the company in the transfer documents they will execute and, therefore, must request financial information available, read and understand before deciding to sell or purchase. We urge interested sellers and buyers to seek professional assistance of a tax advisor or attorney prior to completing and signing the forms. You should also read and understand the Company’s Articles and Bylaws.
